TERMS OF USE

1. ACCEPTANCE OF OUR TERMS
The Terms of Use ("TOU") set forth in this document controls the terms and conditions under which you, as a user, may use our service. The TOU may be updated by us without notice. You are subject to any other rules or regulations we post relating to our services. All our rules and regulations, such as our Privacy Policy are incorporated into the TOU.

2. OUR SERVICE
We provides users with access to our resources which include various tools to communicate,  use shopping and search services, use individualized content and media and videos through our network of domain sites that are reached by any number of means across the Internet (the "Service"). By registering or using this site, you acknowledge and agree that our Service includes advertisements. Our Service also entails service announcements and emails, administrative messages and other communications to our registered users, and you may not be able to opt out of receiving them. Any new features or enhancements to our Service after you register are still subject to the TOU. As a user, you acknowledge and agree that the Service is provided without any warranty or guarantee, on an “as  is” basis, so that we are not responsible for the loss or failure to receive, record, retain, store, any data sent by you or others, including your account settings, downloads, uploads, emails or other aspects of our service. You are responsible to make and maintain backup copies of any data that you send to us. You are responsible for all means by which you access our Service, including fees to ISPs, for data transmission charges, and for equipment. You accept responsibility for any fees incurred by your use of our Service, including fees resulting from your using the Service for the display or delivery of advertisements.

3. REGISTRATION
To  register for the use of the Service, you must be at least eighteen years of age. If you are registering for a user under the age of eighteen, you must be the parent or legal guardian of a minor who will be the user. In registering, you must provide accurate information in response to the prompts from the registration form for the Service. You must update the registration information so that it remains complete and accurate. A violation of these registration requirements entitles us to suspend or terminate your account. We are interested in protecting the safety and privacy of all of our users, particularly children. Children under the age of 13 MUST have their parents or legal guardians approve the creation of an account for them. As part of completing the registration process, you will be prompted to create a user ID and a password. It is your responsibility to maintain the confidentiality of your password and user ID, and you accept all responsibility for any actions taken under your User Account. You must immediately notify us of any unauthorized use of your User ID, account or your password. We are not responsible for any consequences of any breach of security of your account, including loss of data or compromise of your personal information. To enhance your security, you should logout at the end of a session.

5. USER CONDUCT
You understand that all electronic data and other information, including without limitation, data, text, software, video, photographs, graphics, music and sound, messages, emails, or other materials ("Content"), whether posted as public or as private, are the sole responsibility of the person from whom such Content originated. You, but not us, are completely responsible for all Content that you provide while using our Services. We do not control any Content you provide while using our Service. We are not responsible for the quality, data integrity or correctness of any such Content. You acknowledge that by accessing our Service, you may view, intentionally or otherwise, Content that you may find to be objectionable. We are not liable for any errors or omissions in any Content, or any losses or damages resulting from the use, downloading or uploading of any Content that you access through use of our Service.

6. ACCEPTABLE USES OF OUR SERVICE
The following constitute violations of this Acceptable Use Policy:
6.1. Using the Service to transmit or post any material that contains or contains links to nudity, pornography, adult content, sex, or extreme violence.
6.2. Using the Service to transmit or post any material that, intentionally or unintentionally, violates any applicable local, state, national or international law, or any rules or regulations promulgated there under.
6.3. Using the Service to harm, or attempt to harm, minors in any way.
6.4. Using the Service to transmit or post any material that harasses, threatens or encourages bodily harm or destruction of property.
6.5. Using the Service to make fraudulent misrepresentations or offers including but not limited to offers relating to "pyramid schemes" and "Ponzi schemes."
6.6. Using the Service to access, or to attempt to access, the accounts of others, or to penetrate, or attempt to penetrate, security measures of this website or any website of Inspired Reels, LLC, or another entity's computer software or hardware, electronic communications system or telecommunications system, whether or not the intrusion results in the corruption or loss of data.
6.7. Using the Service to transmit or post any material that infringes any copyright, trademark, patent, trade secret or other proprietary rights of any third party, including, but not limited to, the unauthorized copying and/or distribution of copyrighted material, the digitization and distribution of photographs from magazines, books, music, video or other copyrighted sources, and the unauthorized
transmittal of copyrighted software.
6.8. Using the Service to collect, or attempt to collect, personal information about third parties without their knowledge or consent.
6.9. Using the Service to impersonate another person or entity, including, but not limited to, employees of Inspired Reels, LLC, or using the Service to misrepresent your relationship or affiliation with another person or entity;
6.10. Using the Service to spoof, spam, phish, forge headers or manipulate identifying data to disguise the source of any Content uploaded to, or downloaded from, the Service;
6.11. Reselling the Service without the prior written authorization of Inspired Reels, LLC.
6.12. Using the Service for any activity that adversely affects the ability of other people or systems to use the Service or the Internet. This includes but is not limited to "denial of service" (DoS) attacks against another network host or individual user. Interference with or disruption of other network users, network services or network equipment is prohibited.

7. REPORTING OF VIOLATIONS OF THIS ACCEPTABLE USE POLICY
Inspired Reels, LLC requests that anyone who believes that there has been a violation of this Acceptable Use Policy to immediately send an email detailing such violation to the address at the end of this TOU. Inspired Reels, LLC may revise, amend or modify this Acceptable Use Policy at any time and in any manner.

8. CONTENT SUBMITTED OR MADE AVAILABLE TO OUR SERVICE
We are not claiming ownership of Content submitted by you or made available by you for inclusion on the Service. However, all Content submitted by you or made available by you for inclusion on the Service on publicly accessible areas of our website is automatically the subject of a grant by you to us of a perpetual, worldwide, royalty-free and non-exclusive license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content.

9. OUR PRIVACY POLICY
The personal information you provide as part of the registration process, and other information you provide, is subject to our Privacy Policy, which is available by link on this website. By registering, you acknowledge and agree that you have read and understand our Privacy Policy, and that you consent to the use of this information as outlined therein.

10. DATA
We reserve the right to, but are not required to, screen or pre-screen any Content. Nevertheless, we have the right, but not the obligation, to remove any Content on our Service.

We may access, record or disclose your account information and any Content as reasonably necessary to: (a) comply with legal process; (b) enforce the TOU; (c) respond to any claim that Content belongs to third parties; (d) respond to requests by you for customer service or to purchase products or services; or (e) secure and protect the users, and the public’s rights, property or personal safety. Over riding or circumventing any of the usage rules embedded into the Service is prohibited. The unauthorized distribution, publication, reproduction or public exhibition of the content of others than yourself provided on the Service, in whole or in part, is strictly prohibited.

11. INDEMNITY
You agree to indemnify and hold us and our subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, (1) made by any third party arising out of or related to Content that you submit, upload, transmit or otherwise make available on the Service,(2) your use of the Service, (3) your connection to the Service, (4) any violation by you
of  the TOU, or (5) your violation of any rights of third parties.

12. NO COMMERCIAL USE OF SERVICE
You shall not reproduce, copy, sell, resell, trade, barter, duplicate, or otherwise use for commercial purposes, the Service, access to the Service, or any content on the Service that is not owned by you.

13. INTELLECTUAL PROPERTY
Our website domain name, our logo, our trademarks and our service marks belong to Inspired Reels, LLC, and without our written permission, you shall not use our website domain name, our logo, our trademarks and our service marks for any commercial purpose and in any manner other than “fair use” as defined by applicable state and federal law. By way of example only, that means you can tell your friends and contacts about our website and our Services, but not for personal financial gain. We respect the intellectual property of others, and we ask our users to do the same. Under appropriate circumstances and at our sole discretion, we may disable and/or terminate the accounts of users who may be repeat infringers of the intellectual property rights of others, or if we receive notice, such as under the Digital Millennium Copyright Act, that a user is in violation of law. If you think that your Content has been used in a manner that you believe violates your intellectual property rights, please provide Inspired Reels, LLC with the following information:

• a description of the copyrighted work or other intellectual property that your asset is being infringed;

14. USE AND STORAGE OF DATA
We may create and enforce limits on your use of the Service, including without limitation: (1) the number of days that data, such as email messages, message postings or other uploaded Content will be retained by us on the Service, (2) the maximum number of email messages that may be transmitted to or from an account on the Service, (3) the maximum size of email messages, (4) the maximum disk space that will be allotted to you, and (5) the maximum duration and number of times in which you may access the Service. We are not responsible or liable for the loss of any Content, data, messages or other information that we maintain as part of the Service. We may terminate connections with accounts that are inactive for a certain period of time. We may modify these practices and limits at any time in our sole discretion.

15. SERVICE CONTINUITY
We may at any time modify, alter, change, or discontinue, temporarily or permanently, any or all of the Service without notice. We are not liable to you or to any third party for any such conduct.

16. ACCOUNT TERMINATION
With or without prior notice, we may immediately terminate your account, along with any related email address and access to the Service. Termination may be for such conduct, including without limitation, (a) breach of the TOU or other regulations and rules (b) at the request of any government agency, (c) at your request, (d) due to termination or  modification of all or part of the Service, (e) power outages or technical or security concerns, (f) for inactivity in the account for a long period, or (g)) nonpayment of any fees owed by you in connection with the Services. If we terminate your account, we will eliminate your access to the Service, delete your user ID and password, and delete all Content affiliated with your account. We may also preclude you from use of the Service in the future. Any terminations of your account by us shall be made in our sole and absolute discretion, and we shall not be held liable to you or any third party on account of any lost data, lost access or any direct, indirect or consequential damages arising out of or related to an account termination.

17. OUR ADVERTISERS
If  you choose to click through, communicate, contact, or participate in any dealings with, or any promotional activities of, our advertisers, including buying or ordering their goods or services, all such dealings are exclusively and solely between you and our advertisers. We are not liable or responsible for any claims, losses or damages that arise out of or relate to your dealings with our advertisers.

18. OWNERSHIP RIGHTS OF OUR SERVICE
Our Service and the software used in our Service ("Software") are our intellectual property to the extent that they contain our proprietary or confidential information, all of which is subject to state and federal laws that protect our legal rights. Content, advertisements or other information made available to you on the Service may also be protected by registered or common law copyrights, service marks, trademarks, patents

As a registered user, we have given you a personal, non-transferable and non-exclusive license to use the object code of our Software on one computer at a time. You must not, directly or indirectly, reproduce, copy, modify, sell, resell, trade, barter, duplicate, distribute or create derivative works, reverse engineer, reverse compile or otherwise uncover our source code. You must not attempt to access the Service other than through the login for your account.

19. EXCLUSION OF WARRANTIES
BY REGISTERING OR OTHERWISE USING OUR SERVICE, THIS IS YOUR EXPRESS AGREEMENT AND ACKNOWLEDGMENT THAT YOUR USE OF OUR SERVICE IS AT YOUR OWN RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. INSPIRED REELS, LLC AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. INSPIRED REELS, LLC AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE UNINTERRUPTED, AVAILABLE, OF A CERTAIN DATA TRANSFER SPEED, SECURE OR FREE FROM ERRORS; THAT THE RESULTS FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE OR FREE FROM DATA TRANSMISSION ERRORS OR OF A CERTAIN LEVEL OF VIDEO QUALITY; THAT THE QUALITY OF ANY PRODUCTS OR SERVICES PURCHASED OR ACQUIRED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; AND THAT ANY BUGS OR ERRORS IN THE SERVICE OR ITS SOFTWARE WILL BE FIXED.

YOU ASSUME RESPONSIBILITY TO PROTECT YOUR COMPUTER FROM ANY VIRUS, SPYWARE OF OTHER MALICIOUS SOFTWARE THAT MAY BE DOWNLOADED OR OTHERWISE ACQUIRED BY YOU THROUGH THE USE OF THE SERVICE AND YOUR ACCESS TO THE SERVICE IS AT YOUR OWN RISK. WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY MATERIAL OR ANY HARMFUL COMPUTER VIRUSES, CODE, SPYWARE OR ANY OTHER FORM OF MALICIOUS SOFTWARE.

THIS TOU CONTAINS THE EXCLUSIVE SOURCE OF ANY WARRANTY BY INSPIRED REELS, LLC AND NO ONE IS AUTHORIZED TO PROVIDE YOU WITH ANY ADVICE OR INFORMATION, WHETHER ORAL OR IN WRITING, THAT CHANGES THIS WARRANTY AS SET FORTH IN THIS TOU.

20. LIMITATION OF LIABILITIES
INSPIRED REELS, LLC AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS,EMPLOYEES, AGENTS, PARTNERS AND LICENSORS ARE NOT LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES).

THIS LIMITATION OF LIABILITY APPLIES TO ANY AND ALL ASPECTS OF OUR SERVICE, INCLUDING WITHOUT LIMITATION, THAT RESULTING FROM: YOUR USE OR YOUR INABILITY TO USE THE SERVICE; THE COST OF PROCUREMENT OF REPLACEMENT OR SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR ACQUIRED BY YOU OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR ANY OTHER MATTER RELATING TO THE SERVICE.

A TINY NUMBER OF USERS MIGHT SUFFER FROM EPILEPTIC SEIZURES WHEN EXPOSED TO CERTAIN LIGHT PATTERNS OR BACKGROUNDS ON A COMPUTER SCREEN OR WHILE USING THE SERVICE. THIS CAN OCCUR EVEN IN USERS WHO HAVE NO HISTORY OF PRIOR SEIZURES. ANYONE WITH AN EPILEPTIC CONDITION SHOULD CONSULT A PHYSICIAN PRIOR TO USING THE SERVICE. YOU SHOUD IMMEDIATELY DISCONTINUE USE OF THE SERVICE IF YOU EXPERIENCE ANY DIZZINESS, ALTERED VISION, EYE OR MUSCLE TWITCHES, LOSS OF AWARENESS, DISORIENTATION, ANY INVOLUNTARY MOVEMENT, OR CONVULSIONS WHILE USING THE SERVICE AND IMMEDIATELY CONSULT A PHYSICIAN. INSPIRED REELS IS NOT LIABLE FOR ANY PERSONAL OR EMOTIONAL INJURY, LOSS OR DAMAGE SUFFERED BY ANYONE ARISING OUT OF OR RELATED TO, OUR SERVICE.

21. MISCELLANEOUS
This TOU shall not extend to any third-party beneficiaries, unless expressly stated herein.

We may give you notices, including about changes in the TOU by to email, US mail, SMS, MMS, twitter, text message, or message board postings on the Service.

The TOU comprises the entire agreement between you and Inspired Reels, LLC and controls your use of the Service. This TOU supersedes any prior agreements between you and Inspired Reels, LLC with respect to the Service. Other terms and conditions may apply to you if you use or purchase the services of our affiliates, advertisers or other third-parties.

The TOU shall be governed by the laws of the State of California without regard to its conflict of law provisions. You and Inspired Reels, LLC agree to that any legal disputes subject to a court of law shall be brought exclusively in the Superior Court of El Dorado County, California.

If we do not choose to exercise or enforce any right or provision of the TOU, this shall not constitute a waiver of such right or provision.

Your account is non-transferable and any rights to your user ID or Content terminates upon your death.

The labels assigned to the sections in this TOU are for convenience only and have no legal or contractual meaning.
